Please read these Terms of Service carefully before using FileBuddy. By using our services, you agree to be bound by these terms.

1. Acceptance of Terms & Eligibility

By accessing or using FileBuddy (including our web application, desktop client, mobile apps, and associated APIs), you enter into a legally binding agreement to be bound by these Terms of Service. You must be at least 13 years old (or 16 in the European Economic Area) to use FileBuddy. If you are using our services on behalf of an organization or business entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.

2. User Accounts & Security

To access cloud storage and file management features, you must register an account with accurate and up-to-date information. You are solely responsible for maintaining the confidentiality of your credentials, password, and two-factor authentication tokens. You agree to notify us immediately of any unauthorized access to or use of your account. FileBuddy is not liable for any losses or damages caused by unauthorized account access resulting from your failure to safeguard your credentials.

3. Cloud Storage, Quotas & Bandwidth

Your account provides access to cloud storage capacities and bandwidth allocations corresponding to your subscription tier or guest privileges. You agree not to circumvent, alter, or exceed assigned storage limits or automated rate limiters. In the event an account exceeds its allocated storage limit or bandwidth threshold, FileBuddy reserves the right to restrict new uploads or temporary download links until additional capacity is provisioned or storage usage is reduced.

4. Content Ownership & Limited License

You retain 100% full ownership, title, and all intellectual property rights in and to the files, folders, documents, and media you upload to FileBuddy. We do not claim any ownership rights over your content. By uploading files, you grant FileBuddy only a limited, worldwide, non-exclusive, royalty-free license solely for the technical operation of the service—specifically to store, back up, transmit, generate previews or thumbnails, and provide file retrieval services as directed by you. We do not use your private content to train artificial intelligence models or sell your data to third parties.

5. Acceptable Use & Prohibited Content

You agree to use FileBuddy exclusively for lawful purposes. You must not upload, host, share, or transmit: (a) child sexual abuse material (CSAM), which is strictly prohibited and subject to immediate account termination and law enforcement reporting; (b) malware, ransomware, viruses, worms, or code designed to disrupt computer systems; (c) material that infringes any patent, trademark, trade secret, copyright, or proprietary right of any party; (d) content intended to harass, threaten, defraud, or unlawfully impersonate others; or (e) automated scripts or bots designed to scrape or burden our infrastructure without authorization.

6. Subscriptions, Payments & Billing

Paid subscriptions are billed on a recurring monthly or annual basis via our authorized payment processors (including Stripe, Apple App Store, or Google Play Store). Subscriptions renew automatically unless cancelled prior to the renewal date. You may cancel your subscription at any time through your Account Settings or your device app store settings. Except where mandated by consumer protection laws, subscription payments are non-refundable once processed. Upon cancellation, your account retains access to paid features until the conclusion of the current billing cycle.

7. Public Sharing & Access Links

FileBuddy allows you to generate public download links, shareable folders, and file drop requests. You are solely responsible for the distribution of links you create and the recipients with whom you share them. You acknowledge that anyone with access to an unprotected public link may download or view the shared content. We encourage the use of password protection, access limits, and expiration dates when sharing sensitive files. FileBuddy reserves the right to disable any public link that violates our terms or consumes abusive amounts of network bandwidth.

8. Account Termination & Data Erasure

You may terminate your account at any time through your Account Settings or via our public Account Deletion Portal. Upon processing, all uploaded files, folder structures, thumbnails, and authentication credentials are permanently deleted from active storage. In accordance with statutory legal requirements, financial invoice records are retained for up to 7 years for tax compliance, and automated security audit logs are retained for up to 90 days for fraud defense before being purged. We reserve the right to suspend or terminate accounts that breach these Terms without prior notice.

9. Disclaimers & Limitation of Liability

FileBuddy is provided on an 'as is' and 'as available' basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or uninterrupted availability. While we utilize redundant storage and industry-standard security, we strongly recommend maintaining independent backups of critical data. To the maximum extent permitted by law, FileBuddy and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data. Our aggregate liability shall not exceed the amount paid by you to FileBuddy in the preceding 12 months.

10. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or related to your use of FileBuddy shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

11. Changes to Terms & Contact

We reserve the right to modify these Terms of Service at any time. For material modifications, we will provide at least 30 days' advance notice through our website, application notifications, or email prior to new terms taking effect.
